What is the 1.5% platform fee?

The 1.5% success fee covers the full self-serve stack: AI deal adviser (Chris), 24-hour IM builder, buyer matching, confidential marketplace, NDA-gated deal room, unlimited buyer contacts and human editorial review of your IM. It is only charged if you complete a sale; if the deal doesn't close, you owe nothing.

Is 1.5% cheaper than a broker?

Materially. Typical UK broker success fees on sub-£5m deals run 5–10% plus a £3,000–£15,000 upfront retainer that most sellers never see refunded. On a £1m sale that's £53,000–£115,000. Sell Ltd's 1.5% is £15,000. On a £3m sale the gap widens: brokers £153,000–£315,000, Sell Ltd £45,000.

What does the managed sale add?

The managed sale (2–4% depending on complexity) puts a named human deal lead alongside Chris for the whole process. They personally screen buyers, handle indicative offer negotiations, manage the diligence, and hold the buyer's hand to completion. Pick this if you don't want to run the process yourself.

Are there any hidden fees?

No. Every fee is on this page. Optional extras — priority marketplace placement (£250), extra outreach credits (£500 per 100), a bespoke IM redesign (£1,500) — are individually priced and opt-in only. You will never be surprised by a charge you didn't authorise.

Do I pay VAT?

Yes — Sell Ltd is UK-registered for VAT. The 1.5% platform fee is quoted excluding VAT; 20% VAT is added on the invoice. Most business sellers reclaim this. If you're VAT-exempt (a rare case for a limited company sale), talk to us and we'll route accordingly.

When is the fee payable?

On completion — the same day the buyer's funds clear to your solicitor's client account. The 1.5% is deducted from the transfer or invoiced against completion statement. Your corporate lawyer coordinates the mechanics on the SPA.

What if the sale falls through?

You pay nothing. No retainer, no work-done fee, no marketing charge. The £0 upfront pricing means a failed deal costs you the meetings you took — nothing else. Compare to a broker where the retainer is typically non-refundable regardless of outcome.

Do you cap the fee?

Yes. On sales above £5m, we cap the platform fee at £75,000 (1.5% of £5m). On sales above £10m, we recommend the managed sale service (better fit for larger deals) — pricing is bespoke and always quoted upfront.

Are payment plans available?

The 1.5% is settled at completion in one payment. Managed sale engagements over £20,000 can be quarterly-billed. Small optional add-ons (£250–£1,500) are billed at the point of purchase.

Do you accept referral fees from brokers or lawyers?

No. Sell Ltd does not accept referral fees, kickbacks or commissions from any adviser we introduce you to. If you engage a lawyer or tax adviser via our recommended list, you pay them directly at their published rates. This keeps our advice on which adviser to use honest.
