How access is granted — the flow
- Buyer clicks the enquiry link on your confidential teaser.
- Sell Ltd verifies the buyer's identity (Companies House match or verified email domain).
- Buyer reads and click-signs the Sell Ltd standard mutual NDA in-browser (or your uploaded template).
- Chris notifies you; you approve or veto the buyer's Tier 2 access.
- Access unlocks. Every view, download and share is logged.
- As the deal progresses, you (or your lawyer) unlock Tier 3 and Tier 4 documents per buyer.
- On completion — or if you close the process — one click revokes all buyer access.

What is a business sale deal room?
A business sale deal room (or virtual data room) is the secure, access-controlled space where a seller stores confidential documents — accounts, contracts, customer data, IM — and grants NDA-signed buyers permission to view them. It replaces emailing sensitive files around and gives the seller full audit visibility over who saw what and when.
How secure is the Sell Ltd deal room?
AES-256 encryption at rest, TLS 1.3 in transit, UK-hosted with a compliant EU/US data-transfer path. Per-document, per-buyer permissions. Full audit log of every view, download and share. Automatic watermarking with the buyer's NDA reference on every PDF. Buyer sessions time out and re-authenticate on suspicious behaviour.
How does the NDA gate work?
Buyers see only a confidential teaser publicly. To view identifying details, financials and the IM they click a link that renders the Sell Ltd standard NDA in-browser, then click-to-sign with a unique reference and IP-logged timestamp. Access to the deal room unlocks the moment the NDA is signed. You can revoke that access at any time from your dashboard.
Can I use my own NDA?
Yes — you can upload your own NDA template. The Sell Ltd standard NDA is a mutual, UK-law NDA that most corporate lawyers accept without redlines, which is why we recommend it as the default. If your lawyer prefers your form, you upload it and buyers sign that instead.
Who sees which documents?
You control access at the document level, buyer level and folder level. Common setup: 'Tier 1' documents (IM, summary financials) unlock on NDA; 'Tier 2' (customer contracts, IP schedule, employment contracts) unlock on written indicative offer; 'Tier 3' (payroll detail, top-customer names, live pipeline) unlock at heads of terms. Chris suggests tiers based on your sector.
Can buyers download documents?
You choose. Default settings: view-only in-browser with watermark for Tier 1 and Tier 2; download-with-watermark for Tier 3 (typically post-HOT). Every download event is logged with buyer, document, IP address and timestamp.
How long does deal-room access last?
As long as the buyer's engagement is active, up to a hard cap you set (default: 90 days). You can extend, revoke or re-permission at any time. When a deal completes or you close the process, all buyer access is revoked in one click.
What happens if a document leaks?
Every buyer's PDF is watermarked with their NDA reference and IP. If a copy appears somewhere it shouldn't, we can identify the source. The Sell Ltd standard NDA includes liquidated damages provisions that make a leaked-document lawsuit straightforward for your corporate lawyer to pursue.
Do you host US data?
The primary deal-room store is UK-hosted. Some sub-processors (email, analytics, error tracking) route through US-adequate providers under UK GDPR-compliant standard contractual clauses. Full sub-processor list on the privacy page. If you require UK-only processing (regulated industries, MoD supply chains), enable the UK-only flag in your dashboard.
Can my lawyer access the deal room?
Yes — invite your corporate lawyer as an authorised user on your side. They get full read/write access and appear on the audit log as your appointed adviser. This is included, no extra fee.
How does the audit log work?
Every action — view, download, upload, share, permission change, NDA signature — is stamped with user, IP, timestamp and object. The audit log is exportable to CSV and is admissible evidence in any subsequent leak or breach claim. Your lawyer can pull it on demand.
Is the deal room free?
Yes. The deal room is included in the free Sell Ltd listing. You pay 1.5% only on completion. There is no per-buyer, per-document or per-GB charge, unlike traditional virtual data rooms which typically charge £5,000–£15,000 per deal.
