Why the confirmation statement matters more than people think

The CS01 is a small filing — £34 online, five minutes if nothing's changed. But missing it is the single most common way UK limited companies accidentally end up struck off. Every year Companies House dissolves tens of thousands of solvent companies purely because someone forgot to file, ignored the reminder emails, or moved their registered office without redirecting mail.

Restoring a struck-off company — if you catch it in time — costs £468 in court fees plus a solicitor. Miss the window (usually six years) and everything the company owned becomes bona vacantia: bank balances, property, IP, trademarks all pass to the Crown. The Treasury Solicitor's office collects £millions a year this way, almost entirely from people who thought they'd wound the company down but hadn't.

How the CS01 cycle actually works

  1. Incorporation. Companies House sends a paper Authentication Code to the registered office. Save this — you'll need it to file.
  2. 12 months later, your first "review period" ends. That's your first "made-up-to" date.
  3. 14 days after the review period ends, the CS01 must be filed. Miss this and it's overdue.
  4. File the CS01 via WebFiling: review the pre-populated data (directors, PSCs, share capital, SIC codes), correct any changes, submit, pay £34.
  5. The cycle resets — next CS01 due 12 months later.

Common CS01 mistakes

  • Assuming accountants file it for you. Some do, many don't. Ask.
  • Ignoring Companies House emails. They send reminders to the email on file. If that email bounces, they still start strike-off.
  • Using a formation-agent registered office and forgetting to renew. When the RO service lapses, mail stops arriving — including the CS01 reminders.
  • Confusing CS01 with annual accounts. Different cycle, different form, different deadline. Both must be filed.
  • Assuming dormant companies don't need CS01s. They do.

How to fix an overdue CS01

  1. Log into Companies House WebFiling.
  2. File the CS01 immediately — you can still file after the due date.
  3. If a strike-off notice has already been issued (published in the Gazette), file an objection to the strike-off and the overdue CS01 at the same time.
  4. If the company has already been dissolved, apply for administrative restoration (£468 + costs) via Companies House form RT01 — only available within 6 years.

What is a confirmation statement?

A CS01 filing. Once a year, every UK limited company confirms that the information Companies House holds about it — registered office, directors, PSCs, share capital, SIC codes — is still correct. Filing fee: £34 online (or £13 on paper as of 2024).

When is it due?

12 months after the company's incorporation date, or 12 months after the last confirmation statement was filed. You have 14 days after that date to file — miss it and Companies House can strike the company off the register.

What happens if I miss the deadline?

Companies House starts the strike-off process. First they send a warning; if you still don't file, they can dissolve the company by order in the Gazette. Any bank accounts, contracts and assets become bona vacantia (Crown-owned).

Are there fines for late confirmation statements?

Can I file it early?

Yes. You can file at any point in the 12-month cycle. Filing early moves your next 'made-up-to' date forward — sometimes worth doing if you want to align the cycle with year-end.

Do I need to change anything to file it?

No. The whole point of a CS01 is 'confirming' what's already filed. If nothing has changed, it's a five-minute filing. If something has changed (director, address, SIC), file the specific form first (AP01/AP03/CH01) and then confirm on the CS01.

Do I need to send SIC codes every year?

Yes, on every CS01. You can keep them the same or update — it's the annual chance to correct them.

Do I need to file if the company is dormant?

Yes. Even dormant companies file a CS01 annually. The £34 fee still applies. Missing it is one of the most common ways dormant companies get struck off by accident.

Does filing the CS01 satisfy the accounts filing too?

No — these are separate. Accounts (AA) are due 9 months after year-end. The CS01 is a separate annual cycle from the incorporation date. Confusion between the two is the single most common cause of accidental strike-offs.

What if I filed but the confirmation statement is showing overdue?

It's usually a caching lag — allow 24 hours. If it's still overdue, log into your Companies House account and check the WebFiling receipt. If a filing has been rejected, refile immediately.

Can I file the confirmation statement myself?

Yes. Login to Companies House WebFiling with your Authentication Code (mailed to the registered office when you incorporate), review, confirm, pay £34, done.

How does this differ from an annual return?

The confirmation statement replaced the old annual return (AR01) in 2016. The confirmation statement is a lighter, cheaper version — you only need to declare changes to PSCs, share capital and SIC each cycle.
